Annual Return

According to Section 97 (a), every company registered in Myanmar must, within two months from its incorporation and thereafter once at least in every year (but no later than 1 month after the anniversary of its incorporation), file a return of its corporate details with the Directorate of Investment and Company Administration (DICA).

An annual return is usually submitted via the Myanmar Companies Online (MyCo) platform and accuracy of the following information needs to be confirmed:

  1. Company’s name;
  2. Names and details of director(s) and secretary of the company;
  3. Registered office address and principal place of business of the company;
  4. The address of the place where the company’s statutory registers are kept, if different from the registered office or principal place of business;
  5. Share capital details of the company;
  6. Date of the last annual general meeting of the company;
  7. List of shareholders of the company;
  8. All mortgages and charges granted by the company have been registered;
  9. The company’s status as a foreign company;
  10. The company’s status as a small company;
  11. Investment permits and endorsements;
  12. Company’s principal business activities; and
  13. No invitation to the public for shares or debentures (for private companies only).

Starting from 1 April 2023 all newly established companies must send the following supporting documents to the DICA by email before submitting the first annual return:

  1. Evidence that the paid-up capital has been credited to a bank account opened in the company’s name. In practice, the DICA may require a bank statement to only verify that the company's bank account has been opened.
  2. A copy of the citizenship scrutiny card and a certificate from the relevant township police office confirming the residential address of a Myanmar director or shareholder.
  3. Form C from the relevant township immigration office, in case of a foreign director residing in Myanmar.
  4. A copy of registration documents of a corporate shareholder.
  5. A certificate from the relevant township police office confirming the company‘s registered office address.

Please note that filing an annual return cannot be in lieu of relevant notices of corporate changes, e.g. a change of a director, a change of a company's name, etc. Such key mandatory filings are briefly discussed below.
